Version: 1.0 · Effective from: 2026-06-01 · Governing law: Republic of South Africa (subject to your mandatory home-jurisdiction consumer-protection law where it overrides — see §12).
This is the agreement between you (the buyer) and Imagination Studio for use of the Assets. It governs the intellectual-property licence in what you download. Your purchase transaction is a separate contract with our merchant-of-record (see §11). This document ships inside every Drop as LICENSE.md and is published at imaginationstudio.co.za/terms.
1. Definitions
- "Imagination Studio", "we", "us", "our" — Imagination Studio, a brand
and product offering of Lucid Websites (Pty) Ltd, a company registered in the Republic of South Africa (Cape Town), which is the legal entity that licenses the Assets to you.
- "You", "your" — the individual or organisation that purchased a Drop.
- "Drop" / "Assets" — the downloadable bundle you purchased: HTML/CSS/JS
demo files, copy-paste embed snippets, source files, and accompanying documentation.
- "Merchant-of-record" / "MoR" — the third-party seller-of-record that
takes payment, issues your receipt, and handles applicable taxes (currently Lemon Squeezy; identified on your purchase receipt).
- "End Product" — a website, application, or other work you build that
incorporates the Assets, where the Assets are a component, not the product itself.
2. What you bought, and what we own
The Assets are original works authored under the Imagination Studio brand by Lucid Websites (Pty) Ltd. Where the Assets were produced with the assistance of computer tools (including AI-assisted code generation), Lucid Websites (Pty) Ltd, through its personnel, undertook the arrangements necessary for their creation — including the design language, selection, iteration, and production — and is the author of those works under section 2(1)(h) of the South African Copyright Act 1978, as well as the holder of any rights that arise from the human creative direction involved. We own, or hold the rights to license, all intellectual property in the Assets, and we grant you the licence in §3 on the terms of this agreement. We do not sell or transfer ownership of the Assets; you receive a licence to use them.
3. Licence grant
Subject to your compliance with this agreement, we grant you a perpetual, non-exclusive, non-transferable (except as in §6), worldwide licence to:
- Use the Assets in unlimited commercial End Products, including paid client
work.
- Use the Assets in unlimited non-commercial End Products (personal sites,
portfolios, hobby projects, learning).
- Modify, adapt, and extend the Assets to fit your design or codebase.
- Use the Assets across as many of your own and your clients' sites as you
wish.
Team coverage. A single purchase covers one individual buyer, or — where the buyer is an organisation — up to five (5) employees or contractors of that organisation engaged in the organisation's work, using the Assets for that organisation's End Products. Organisations needing coverage for more than five people should contact us for a team licence.
4. Restrictions
You may not:
- Resell, redistribute, sublicense, or give away the Assets or their source
files as themselves — i.e., as a standalone product, template, component pack, library, marketplace listing, or any form where the Assets (rather than an End Product built with them) are the thing being supplied to a third party.
- Make the Assets available in a way that lets a third party extract them for
their own reuse outside an End Product (e.g. a public repository of the raw source presented as a free asset pack).
- Remove or obscure Imagination Studio copyright or attribution notices
embedded in the Asset source, except where doing so is a necessary consequence of minifying, bundling, or conforming the code to your own End Product's build or comment conventions.
- Use the Assets in material that is unlawful, or that infringes the rights
of others.
5. Permanence and termination
This licence is perpetual and survives any sale, change of ownership, or wind-down of Imagination Studio — Assets you have licensed remain yours to use. We may terminate the licence only if you materially breach §4 and fail to cure the breach within 30 days of written notice. On termination for breach, you must stop using and distributing the Assets in new End Products; End Products already shipped in good faith before termination are not affected.
6. Transfer
You may not transfer this licence except: (a) to a successor entity in a genuine sale or merger of your business; or (b) where you delivered an End Product to a client, the licensed Assets may remain in that End Product for the client's use as part of the delivered work. The client does not thereby receive an independent licence to extract and reuse the Assets in other projects.
7. Updates
If we ship a corrected or improved version of a Drop you purchased, you may download it at no additional cost, via your original purchase confirmation or by contacting us. We are not obliged to produce updates.
8. Warranties and disclaimers
We warrant that, to the best of our knowledge, we have the right to license the Assets to you, and that we have not knowingly incorporated material that infringes any third party's intellectual-property rights.
Otherwise, the Assets are provided "as is" and "as available." To the maximum extent permitted by applicable law, we disclaim all other warranties, express or implied, including fitness for a particular purpose, absence of defects, and compatibility with any specific framework, browser, or platform.
Consumer-law carve-out. Nothing in this agreement excludes, restricts, or modifies any guarantee, right, or remedy you have under applicable consumer-protection law (including the South African Consumer Protection Act, or the mandatory consumer law of your country of residence) that cannot lawfully be excluded. Where such law applies, the disclaimers above apply only to the extent that law permits.
9. Limitation of liability
To the maximum extent permitted by law, Imagination Studio is not liable for any indirect, incidental, consequential, or special damages arising from the use of the Assets, including lost profits, business interruption, or data loss. To the extent we are liable for direct damages, our total liability is limited to the amount you paid for the Drop. Nothing in this clause limits liability that cannot lawfully be limited under applicable consumer-protection law.
10. Refunds
Refunds are handled by our merchant-of-record under its policy and under applicable consumer law, and are described in our Refund Policy. In summary: because the Assets are delivered digitally and immediately, we do not offer discretionary refunds simply for change of mind once the download has been issued; but if a Drop materially misrepresents what is delivered (the live demo does not match the delivered Assets), contact us within 14 days and we will make it right — by correcting the delivery, swapping for an equivalent Drop, or arranging a refund through the merchant-of-record. This summary does not limit any non-excludable refund right you have under applicable consumer law or under the merchant-of-record's own terms.
11. Your purchase is with our merchant-of-record
Your purchase of a Drop is a sale by our merchant-of-record (currently Lemon Squeezy), who acts as the seller, collects payment, and handles applicable taxes (VAT/sales tax/MOSS). The merchant-of-record's terms and refund policy govern the purchase transaction. This Commercial License governs the licence to use the Assets once purchased. Where the two conflict on a matter of the sale itself (payment, tax, statutory refund), the merchant-of-record's terms and applicable consumer law prevail; on matters of the IP licence in the Assets, this Commercial License governs.
You accept this Commercial License by completing the purchase and downloading the Drop. Where the checkout presents a "I accept the Imagination Studio Commercial License" confirmation, your tick of that box is also affirmative acceptance of this agreement.
12. Governing law and disputes
This agreement is governed by the laws of the Republic of South Africa, and the courts of the Western Cape, Cape Town have jurisdiction over disputes under it, without prejudice to any mandatory consumer-protection law or jurisdiction of your country of residence that applies and cannot be excluded.
13. Contact
